Where Misalignment Creates Risk
In bonded cargo trade, control is everything.
The seller controls cargo.
The buyer controls payment.
The system only works when both sides understand the sequence.
In practice, most sellers follow one principle:
They do not release full documents before payment is secured.
Because once documents are released:
The buyer can complete customs clearance.
The cargo is effectively out of seller’s control.
This is why sellers wait for:
Confirmed payment
or at least SWIFT evidence
before releasing full document sets.
But the confusion starts from the contract.
Many contracts state:
“Payment: 100% as per invoice”
And also include:
“Documents required: Invoice, BL, CO…”
The problem is:
The contract does not clearly define timing.
• When are documents released?
• Before payment?
• Or after funds are received?
So each side interprets differently.
Buyer ‘s bank read contract ‘sterm:
“I need full documents (including CO) to trigger payment.”
Seller thinks:
I need payment confirmation before releasing documents.
This creates a deadlock.
Not because of bad intention,
but because of unclear structure.
In bonded trade, this misunderstanding is critical.
Because control depends on documents.
And documents depend on payment timing.
A few cases like this are enough to damage trust.
Sellers become cautious.
Buyers become suspicious.
And both sides start questioning each other’s system.
But the reality is simpler.
This is not about trust.
It is about alignment between:
• Banking system
• Document flow
• Cargo control
Each seller may operate differently:
Some rely on SWIFT MT103
Some require funds in account
Some allow partial document release
Without clear agreement upfront,
the deal becomes fragile.
In bonded transactions:
The biggest risk is not price.
It is not quality.
It is:
👉 Misalignment in payment and document control
A contract that defines price but not sequence
is an incomplete contract.
And in trade,
sequence is what protects both sides.
